Terms of Service
Please read these Terms of Service ("Terms") carefully before using the RepPaid website and SaaS platform operated by Kalisada LLC ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.
1. Subscription, Accounts, and Fees
- Account Responsibility: You must provide accurate and complete information when creating an account. You are solely responsible for safeguarding the credentials you use to access the Service and for any activities under your account.
- Billing and Free Trials: Certain parts of the Service are billed on a subscription basis. If applicable, free trials do not require a credit card up front. You will be billed automatically at the end of the trial unless you cancel.
- Cancellation: You may cancel your subscription at any time through your account dashboard. Upon cancellation, you will retain access until the end of your current billing cycle.
2. QuickBooks Online Integration
- Third-Party Dependency: RepPaid relies directly on Intuit's official APIs to sync data from QuickBooks Online. We are not responsible for any service interruptions, API limitations, or data discrepancies caused directly by QuickBooks Online outages or structural changes on Intuit's platform.
- Authorization: By connecting your QuickBooks Online account, you explicitly authorize RepPaid to retrieve, read, and process the financial and sales data required to execute your custom commission rules.
3. Intellectual Property
The Service and its original content, features, visual elements, code, and functionality are and will remain the exclusive property of Kalisada LLC and its licensors. RepPaid is not affiliated with, sponsored by, or endorsed by Intuit Inc. QuickBooks is a registered trademark of Intuit Inc.
4. Limitation of Liability
Important Note on Commission Accuracy: RepPaid is a data automation tool designed to execute calculations based on parameters you define. You acknowledge that it is your responsibility to verify the accuracy of all generated commission reports before running payroll or distributing funds to representatives.
To the maximum extent permitted by applicable law, Kalisada LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including without limitation loss of profits, data, use, or goodwill—resulting from your use of or inability to use the Service.
5. Termination
We reserve the right to terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.
